Introduction of Our Statute

Statutes of WIRT SAN GWANN – VO/0893
1. Name and Location
1.1 The official name of the organization shall be WIRT SAN GWANN, a self-governing voluntary organization, headquartered at No. 4, Qalb ta’ Gesù, St. Anthony Street, San Gwann, SGN 1433, Malta, or such other premises as the Board may determine from time to time.
1.2 The organization’s logo consists of:
- A shield, symbolizing our commitment to preserving the heritage of San Gwann.
- A Maltese Cross on the shield, representing the rich history of the Town, while maintaining the original logo of Wirt San Gwann.
- A golden background, signifying the wealth and richness of our cultural history.
2. Administration
2.1 The current administration, effective January 2025, comprises:
- Ms. Tania Borg – President
- Ms. Silvia Dimech – Secretary
- Ms. Maria Borg – Treasurer
3. Duration
3.1 The society shall exist for an unlimited duration.
4. History of WIRT SAN GWANN
4.1 Wirt San Gwann was originally founded by Mr. Tony Cutajar, Mr. Salvatore Mousu (deceased), and Mr. Stanley Fiorini. In January 2025, the organization underwent a transition in management to address challenges in project implementation across multiple locations.
4.2 Historically, localities such as L-Imsierah (San Gwann) were once part of larger neighboring towns, with landmarks crossing administrative borders. The new committee has refreshed the organization’s mandate to allow greater flexibility in operating across localities while honouring San Gwann heritage.
4.3 All required approvals were secured from the Office of the Commissioner for Voluntary Organizations (OCVO) and other relevant authorities.
5. Collaborative Efforts
5.1 Wirt San Gwann actively seeks to expand partnerships with:
- Local social clubs (Kazini)
- Local Councils
- Government agencies and NGOs
- Organizations dedicated to national history and heritage
5.2 The organization recognizes and embraces the interconnected history of the locality and welcomes collaborative efforts that promote shared heritage.
6. Heritage and Cultural Initiatives
A. Tourism and History Promotion
- Develop sustainable tourism projects highlighting San Gwann’s history.
- Organize cultural projects to enhance community awareness.
- Host heritage events celebrating local traditions.
B. Education and Preservation
- Document and disseminate local legends, stories, and historical narratives.
- Publish educational materials to promote heritage awareness.
- Strengthen conservation efforts of historical sites and cultural assets.
C. Restoration Projects
- Pursue funding and grants to restore heritage landmarks.
- Enhance and preserve historical sites to ensure their longevity.
7. Funding
7.1 The organization actively applies for funding from European Union, national, and local sources to support initiatives in:
- Well-being and sustainability
- Eco-tourism
- Inclusive education (formal, non-formal, informal)
- Sustainable development
- Social inclusion
- Support for migrants and immigrants
- Preservation and promotion of Maltese traditions and language
8. Target Groups
8.1 Wirt San Gwann engages with a broad spectrum of community members, including:
- Elderly individuals
- Youth
- Adults
- Accompanied children
9. Community Initiatives
9.1 The organization promotes:
- Social development through community engagement and inclusion
- Cultural enrichment via preservation and celebration of local heritage

10. Commitment to Heritage
Wirt San Gwann is devoted to uniting the community in celebrating and safeguarding San Gwann’s rich history, welcoming partnerships that share this vision.
11. Organizational Identity
The organization takes pride in its renewed identity reflecting the ongoing commitment to preserve and honor the Town’s heritage.
12. Future Commitment
Wirt San Gwann pledges to continue safeguarding the community’s history, traditions, and identity for future generations.
13. Management and Administration
13.1 The society shall be managed by a Committee comprising no fewer than three members.
13.2 The Committee may establish subcommittees including locality councillors; however, all proposals from subcommittees require Main Committee approval. Subcommittee members do not have voting rights in the Main Committee.
13.3 Honorary positions of President, Secretary, and Treasurer may be appointed. Any two of these officers shall serve as the legal and judicial representatives of the society.
13.4 Each Committee member has one vote; decisions are made by simple majority.
13.5 External individuals may be invited to meetings without voting rights.
13.6 The Committee shall meet at least once monthly; virtual meetings are permitted with recorded minutes.
13.7 A quorum for Committee meetings is 50% plus one member.
13.8 The President shall chair meetings; a non-voting chairperson may be appointed by unanimous consent.
13.9 New members may be co-opted by internal memo, except for the fixed positions of President, Secretary, and Treasurer.
13.10 Committee members cannot be replaced mid-funding contract.
13.11 Additional roles may be assigned within the Committee, with records kept in meeting minutes.
13.12 The organization may accept sponsorships and donations, maintaining transparency in records.
13.13 Vacancies may be filled by majority Committee vote without waiting for the AGM.
13.14 Committee members unable to attend may appoint a voting proxy by written notice.
13.15 Meeting notices shall be sent seven days in advance; detailed minutes are archived by the Secretary.
13.16 Day-to-day administration is the Committee’s responsibility; a CEO or advisor may be appointed subject to Committee approval.
13.17 Co-opted members may assist on specific projects and may vote on designated matters.
13.18 An Annual General Meeting (AGM) shall report activities and finances.
14. Finances
14.1 The society is non-profit; surpluses support its mission.
14.2 Funds are held in the society’s bank account; two authorized signatories required for withdrawals.
14.3 The Committee may raise funds and seek corporate sponsorships.
14.4 Auditors may be appointed to oversee finances.
15. Donations
15.1 Policies governing donations shall be established and amended by two-thirds Committee majority.
15.2 Donations beneficial to the society shall be accepted and recorded.
15.3 The Treasurer shall issue receipts and acknowledgements, including registration number VO/0893.
16. Dissolution
16.1 Upon dissolution, an administrator shall be appointed.
16.2 Assets shall transfer to a similar voluntary organization chosen by the Committee.
16.3 Borrowed or donated items must be returned to their owners.
16.4 Outstanding obligations must be settled before dissolution.
17. Domicile and Applicable Law
17.1 The society is domiciled in Malta and governed by Maltese law.
18. Amendments
18.1 Amendments require a two-thirds Committee majority.
18.2 Minor amendments may be made by internal memo, with official approval.
18.3 All amendments must comply with Maltese law (Cap 492). Illegal provisions are void.
19. Responsibility
19.1 The current Committee assumes responsibility from January 1, 2025.
19.2 It is not liable for prior matters.
19.3 The previous administration did not transfer assets; this society is established with full transparency.
19.4 The 2024 financial report is the responsibility of the former administration.
